Charles S. Peirce Foundation

1. The name of the corporation is: The Charles S. Peirce Foundation.

2. The location and post office address of the initial registred office of the corporation in this Commonwealth is: c/o Pike County Historical Society, Mr. Norman Lehde, 112 Blackberry Alley, Milford, Pennsylvania 18337.

3. The corporation is incorporated under the Nonprofit Corporation Law of the Commonwealth of Pennsylvania for the following purposes: (a) to support research on the work of Charles S. Peirce, educational programs concerning his life and thought, and original research building upon and continuing or correcting his work; (b) to assist the Delaware Water Gap National Recreational Area in providing for the uses of Arisbe, the homestead of Charles S. and Juliette Peirce near Milford, Pennsylvania, for the above purposes and as a national memorial to Charles S. Peirce as scientist, mathematician, logician, and philosopher; (c) to accept contributions from individuals, associations, organizations, foundations and corporations to be used for the above purposes; and (d) to carry out any function relating to or connected with the above purposes, and to have and to exercise all powers conferred under Title 15, Article B of the Consolidated Pennsylvania Statutes. This corporation is not organized for profit. No part of the net earnings of the Corporatoin shall inure to the benefit of or be distributed to its members, directors, officers or other private persons or to the benefit of any person who has made a substantial contribution to the corporation or to any members of his family, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in the furtherance of the purposes set forth in Article 3 hereof. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on [a] by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or [b] by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law.)

Notwithstanding any other provision of these articles, the corporation shall not exercise any powers not permitted to be exercised by an organization exempt under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

Said corporation is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

4. The term for which the corporation is to exist is: perpetual.

Upon dissolution of the corporation, the Board of Trustees shall, after paying or making provision for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United Sttaes Internal Revenue Law), as the Board of Trustees shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
